IT-Enterprise co-founder prepares lawsuit over corporate conflict

According to Mikhailov, his long-time partner Oleg Shcherbatenko sold the property rights to the company's key products to the newly created structure of AIH Digital LLC, the founders of which are Shcherbatenko himself and his son Oleksiy.
Also, according to Mikhailov, the IT-Enterprise trademarks were sold to Oleksiy Shcherbatenko as an individual, and the partners registered some of the software products for themselves without the consent of the co-authors.
"I was actually removed from managing the company. I remain a co-founder with a 40% stake, but I do not have access to offices, corporate systems, and I do not influence the decisions of the general meeting," Mikhailov wrote on his public Facebook page.
He also noted that the loss of control over the company led to the halting of development of several key products and the dismissal of some of the leading developers.
Mikhailov plans to go to court to protect his rights and initiate a "civilized division of the business" that he and his partner have been creating for almost 40 years.
In turn, Oleg Shcherbatenko confirmed to the DOU portal that disagreements did indeed arise between the co-owners, which led to a loss of trust. According to him, Mikhailov has been abroad since 2022, where he is developing his own businesses.
IT-Enterprise recorded "attempts by unidentified individuals to illegally sell copies of the company's software to foreign clients."
"The opacity of this activity there, the inability for us to be responsible for the actions there, the quality of contacts, as well as signs that unidentified individuals were trying to illegally sell copies of our software there to customers whom we, as a Ukrainian company, would not want to see among our own - all this is part of the official investigation," explained Oleg Shcherbatenko.
IT-Enterprise is one of the oldest Ukrainian IT groups specializing in corporate management systems, production digitalization, and public procurement.
