Nova Poshta owners Klymov and Popereshnyuk buy BTA Bank — the smallest bank in Ukraine
Co-owners of the NOVA group (Nova Poshta company), Vyacheslav Klymov and Volodymyr Popereshnyuk, are taking a decisive step to enter the banking market. NovaPay Invest has officially notified the National Securities and Stock Market Commission (NSSMC) and BTA Bank itself of its intention to acquire 100% of its shares.
According to information in the stock market disclosure system, NovaPay Invest plans to buy back all 20 million ordinary registered shares of the financial institution. At the time of filing, neither the company nor its affiliates owned shares in the bank.
Earlier, in June, the company had already sent an application to the Antimonopoly Committee of Ukraine (AMCU) to obtain preliminary conclusions regarding permission to establish control over BTA Bank, NV writes .
Context of the deal and the status of BTA Bank
Currently, BTA Bank is 100% owned by a citizen of Kazakhstan, Kenes Rakishev. According to the National Bank of Ukraine, as of September 1, the financial institution ranked last (59th) in the country in terms of total assets, which amounted to UAH 338.49 million. For the first eight months, the bank showed a net profit of UAH 1 million.
NovaPay Invest LLC was established in April by the founders of Nova Group, Vyacheslav Klymov and Volodymyr Popereshnyuk, together with the chairman of the supervisory board, Taras Kyrychenko (each owning equal shares of 33.33%).
NovaPay license and development plans
Nova's founders announced their intention to enter the banking market back in the spring. In June, a memorandum of understanding was signed between the parties to purchase the financial institution.
It is expected that after the deal is completed, Nova plans to hand over a full banking license to BTA Bank and obtain a limited financial inclusion banking license. This format involves restrictions on lending to large businesses and securities transactions, but is ideal for servicing individuals and small businesses.
Currently, the financial service NovaPay attracts funds from clients through the sale of its own corporate bonds. However, this instrument is more expensive for the company and less protected for depositors, as it is not covered by the guarantees of the Deposit Guarantee Fund (DGF). Obtaining a banking license will allow it to expand its product line and offer full-fledged deposits.
Previously, Belarusian businessman Mykola Vorobey and Kazakh neobank Kaspi were candidates for the acquisition of BTA Bank. In early 2025, Ukrainian entrepreneurs Vyacheslav Mishalov and Dmytro Shevchuk received permission from the Antimonopoly Committee of Ukraine to purchase the bank, but the NBU never approved the deal.
The owners of Nova Poshta are considering the possibility of launching their own bank - applications for registration of the Nova Bank and NovaPay Bank brands have appeared in Ukrpatent
