Cognition, the startup that developed the Devin AI programming agent, has acquired Windsurf. This comes after the deal with OpenAI fell through and Google hired the CEO, co-founder, and lead researchers.
The announcement comes just days after Google hired Windsurf CEO Varun Mohan, co-founder Douglas Chen, and research leaders. The Google deal came just hours after OpenAI’s $3 billion offer to acquire Windsurf expired.
Cognition has acquired Windsurf's intellectual property and product, including its AI-based IDE, along with all employees not hired by Google, TechCrunch reports .
The deal price is unknown; however, Cognition claims that Windsurf has achieved $82 million in annual revenue (ARR) and a user base of at least 350 enterprise customers and “hundreds of thousands” of daily active users.
In the near future, the Windsurf team will continue to work on its AI-powered IDE, while Cognition is working on its AI coding agent, Devin. Ultimately, Cognition says it will integrate Windsurf’s intellectual property and capabilities into its own products.
Cognition President Russell Kaplan noted in a post on X that the Windsurf acquisition did indeed happen over the weekend, just hours after the Google deal was announced. He noted that the first call was made after 5pm on Friday and the deal was signed on Monday morning.
It is also reported that 100% of Windsurf employees will financially participate in this deal, as well as relinquishing ownership of their work at this time.
