The company has officially filed documents with the US Securities and Exchange Commission to conduct an initial public offering of shares on the Nasdaq exchange. After completing the procedure, Swarmer will become the first Ukrainian DefTech company to publicly enter the US stock market.

As reported by AIN with reference to EDGAR, the company's shares will be traded on the Nasdaq Capital Market under the ticker SWMR. The sole organizer of the placement is the investment bank Lucid Capital Markets. At the moment, the exact number of shares for sale and the price range have not yet been determined, as the registration statement is under consideration and has not yet become effective.

It is important to note that the listing on the US stock exchange will not affect the safety of the technology. The company emphasizes that the IPO does not involve the transfer of technological developments outside Ukraine. The main R&D center remains in the country, and global expansion primarily concerns capital raising and corporate structure.

Who invests in Swarmer?

Going public was a logical continuation of the company's rapid growth. Back in September 2024, Swarmer also closed an investment round of $2.7 million . It was joined by American funds Radius Capital, Green Flag Ventures, and D3. The round was led by American defense technology company RG.AI. All of them also became participants in Swarmer's new financing. In the same year, the startup received a grant of UAH 2 million from Brave1.

A year later, Swarmer raised a record $15 million for Ukrainian deftech in the Series A round. The funds were then used to scale the team, which has doubled in size recently, and to develop an international presence .

The latest public investment in the company was made by the Oppenheimer Syndicate fund for $500,000, which is part of the international Network VC Group, created by investor Oleksandr Soroka.

According to experts, the cost of Swarmer could be $35–45 million.

What is Swarmer known for?

Swarmer, a startup founded in 2023 by Sergey Kuprienko and Alex Fink, creates software that allows a single operator to control a swarm of 25 drones. Thanks to artificial intelligence, the drones act as a single organism, capable of performing tasks even in conditions of enemy electronic warfare (EW) equipment.

The system was trained on real combat data: since April 2024, the technology has been involved in over 100,000 combat missions. This allowed the AI ​​to imitate the tactics of experienced pilots and automate complex coordination processes.

Swarmer's global team has over 100 employees. Of these, over 40 are Ukrainian developers who create the technology, while foreign branches focus on the commercial part.

Last September, the WSJ reported that Ukraine had become the first country to routinely use drone swarm technology on the battlefield, a concept previously only theoretical. The report cited data from the Ukrainian military and software developer Swarmer, which said drone swarm attacks have been underway for about a year.
