American defense tech company Swarmer is one step closer to acquiring Ukrainian ground robot maker Ratel Robotics. Its shareholders have authorized the issuance of up to 5.5 million new shares as part of the payment for a deal worth up to $224 million.
In fact, Swarmer will pay Ratel Robotics both with money and a share in its own business. So, Ratel Robotics will receive shares of the American company and become its co-owner.
They will not receive all of the stock payment immediately. Swarmer will transfer about 1.06 million shares after the purchase is completed. Up to 4.42 million shares will be available to the NRC manufacturers in the coming years if Ratel Robotics meets the agreed revenue and operating profit targets for 2026–2028.
Previously, dev.ua wrote that in September, the American Swarmer announced the acquisition of Ukrainian ground robot manufacturer Ratel Robotics for up to $224 million. The companies plan to combine Ratel's ground robotic complexes with Swarmer's software for autonomous drone control.
Ratel Robotics is one of the key suppliers of ground robots to the Ukrainian Defense Forces. Its complexes are used for logistics, evacuation of wounded, reconnaissance and demining. After the deal is completed, about 300 Ratel employees are expected to join Swarmer, while its founder Taras Ostapchuk will remain in charge of the company.
